Terms

Please read these Terms and Conditions (these Terms) carefully before using Certified SEO.com, purchasing a course or other product, creating an account, or using any tool we make available. These Terms are a binding agreement between you and Damon Burton or SEO Nation LLC (DBA “Certified SEO,” we, us, or our).

These Terms include important provisions that limit our liability and disclaim certain warranties, and they explain that we do not guarantee search engine rankings, traffic, or business results. Our Privacy Policy describes how we handle personal information and is part of this agreement.

In these Terms, Website means Certified SEO and any other site we operate that links to these Terms. Courses means our online courses, lessons, videos, and training programs. Content means the written materials, videos, audio, graphics, worksheets, templates, downloads, and other materials we make available. Software or Tools means any online tool, dashboard, application, or other technology feature we may offer. Products means anything you can purchase from us. Together, all of the above are the Services.

1. Acceptance of These Terms

You agree to these Terms when you do any of the following:

  • visit or use the Website;
  • purchase a Course, Product, or other Service;
  • create an account or register for a member area;
  • subscribe to a recurring plan, where offered; or
  • access or use any Software or Tools we provide.

If you do not agree to these Terms, please do not use the Services. If you are agreeing on behalf of a company or other organization, you confirm that you have authority to bind that organization, and references to you include that organization.

2. Who May Use the Services

To purchase from us or create an account, you must be at leas 18, or the age of legal majority where you reside, and have the legal capacity to enter into a contract. You agree that the information you give us when you register or purchase is accurate and that you are not using someone else’s identity or payment method without permission.

We may decline to provide the Services to any person and may limit availability in certain regions at our discretion.

3. Use of the Website, Courses, and Services

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Website and the Services you have purchased or been granted access to.

Depending on what you buy, your access may include Courses and lessons, video and audio content, downloadable resources such as worksheets, checklists, and templates, community or member areas, and Software or Tools. We may add, change, or retire individual features, lessons, or resources over time as our material is updated.

Unless we say otherwise in writing, access is provided for your own use and for the internal use of the business you operate, and not for resale or redistribution. Where a Course or Service is sold for a defined access period, your right to use it ends when that period ends.

You may use what you learn from our Courses in your own work, including work you perform for your own clients. What you may not do is hand over, resell, or republish our Content or account access to others. Section 6 explains this in more detail.

4. Accounts and Account Security

Some Services require an account. You are responsible for keeping your login credentials confidential and for everything that happens under your account.

You agree to:

  • provide accurate and current registration information;
  • keep your password secure and not share it;
  • not transfer, sell, or lend your account or access to anyone else; and
  • notify us promptly if you believe your account has been accessed without your permission.

Accounts are for a single user unless you have purchased a team, seat-based, or multi-user arrangement. Sharing one account among several people so that others can view Content they have not purchased is a material breach of these Terms and may result in suspension or termination under Section 20.

5. Our Intellectual Property

Certified SEO owns, or has the right to use, everything that makes up the Services. That includes our course curriculum and structure, written materials, videos, audio recordings, graphics and images, worksheets and templates, downloadable resources, Website design and text, Software and Tools, and our proprietary frameworks, processes, and methodologies. All of this is protected by copyright, trademark, and other intellectual property laws.

The Certified SEO name, the Certified SEO.com domain, and our logos and brand elements are our marks. You may not use them except to refer to us accurately, and you may not register or use any confusingly similar name, domain, or mark.

Buying a Course, a subscription, or access to a Tool gives you the right to use it as described in these Terms. It does not transfer ownership of any of our intellectual property to you, and it does not give you any right to create products or services derived from our materials.

6. Your License to Purchased Courses and Content

When you purchase or are granted access to a Course or other Content, we give you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable license to view and use that Content for your own education and for the internal purposes of the business you operate. You may download or print materials we make available for download, for your own reference.

Unless we have given you written permission, you may not:

  • copy, reproduce, or distribute our Content beyond your own permitted use;
  • resell, rent, license, or sublicense our Content;
  • post our Content publicly or upload it to a file-sharing service, social platform, or another website;
  • share your login credentials or otherwise give others access to Content they have not purchased;
  • record, screen-capture, or transcribe our Courses for distribution; or
  • use our Content to build a competing course, training program, or product that reproduces a substantial part of our curriculum or materials.

Nothing in this section prevents you from applying the skills and general knowledge you gain from our Courses in your own business or client work.

This license ends if your access period ends, if you request a refund and it is granted, or if we terminate your access under Section 20. When it ends, you agree to stop using the Content and, on request, to delete copies you have downloaded.

7. Software and Online Tools

This section applies only if and to the extent we make Software or Tools available to you.

We grant you a limited, revocable, non-exclusive, non-transferable right to use the Software or Tools for their intended purpose during your paid or authorized access period. We keep all ownership rights in them.

When using Software or Tools, you agree not to:

  • copy, modify, or create derivative works from them, except as permitted by law;
  • reverse engineer, decompile, or attempt to extract source code or underlying models;
  • access or attempt to access any account, data, or part of our systems that you are not authorized to use;
  • interfere with or disrupt their operation, security, or availability;
  • introduce viruses, malware, or other harmful code;
  • probe for or exploit technical vulnerabilities, or bypass usage limits, licensing checks, or access controls; or
  • use automated means to extract data or content at a scale that burdens our systems, except as we expressly permit.

Software and Tools may be updated, changed, or discontinued. Where a change materially reduces functionality you are paying for, we will make a reasonable effort to notify you.

8. Orders and Payment

Prices and the Products available are posted on the Website and may change. Placing an order is an offer to buy; your order is accepted when we confirm it and payment is received. We may decline or cancel an order, including where information is incomplete or inaccurate, where we suspect fraud, or where a price or description was posted in error. If we cancel an order you have paid for, we will refund that payment.

You authorize us and our payment providers to charge the payment method you provide for the amount shown at checkout, plus any applicable taxes. Payments are processed by third-party payment providers, and their terms apply to the payment transaction. Unless stated otherwise at checkout, prices are in U.S. Dollars.

Most of what we sell is delivered digitally, and access is normally granted promptly after payment is confirmed. If we ever offer a physical item, the ordering, delivery, and return details for that item will be described at the point of sale.

9. Subscriptions and Recurring Billing

This section applies only if you purchase a membership, subscription, payment plan, or other recurring Service.

Where a recurring plan is offered, the billing amount, billing interval, and any introductory or trial period will be disclosed to you at checkout before you commit. By subscribing, you authorize us to charge your payment method on a recurring basis at the disclosed interval until the subscription is canceled. Recurring charges continue until cancellation is completed as described in Section 10.

We may change subscription pricing. If we do, we will give you notice before the change takes effect and an opportunity to cancel before you are charged at the new rate. If a payment fails, we may retry the charge, pause your access, or cancel the subscription.

10. Refunds and Cancellations

Because access to valuable resources is immediate upon purchase, no refunds are given.  Nothing in this section limits any refund or cancellation right you have under consumer protection law in your jurisdiction.

11. Educational Nature of the Services and SEO Results Disclaimer

This section is important. Please read it carefully.

Certified SEO provides education, training, information, and, where offered, tools. We do not provide a guaranteed outcome, and we are not offering a business opportunity or a get-rich-quick program.

Search engine optimization results depend on a very large number of factors that we do not control. These include your website and its technical condition, your industry and competition, your budget and the time you invest, the quality of your content and offers, the actions of your competitors, and the algorithms, guidelines, and business decisions of search engines and other platforms, which change frequently and without notice.

Accordingly:

  • We do not guarantee any search engine ranking, placement, indexing, visibility, or inclusion.
  • We do not guarantee traffic, impressions, clicks, leads, conversions, sales, revenue, profit, or any other business result.
  • We make no earnings claims and no return-on-investment claims. It is possible that you will not recover what you spent on our Courses or Tools.
  • Any results, rankings, revenue figures, case studies, screenshots, examples, or testimonials we present reflect specific circumstances at a specific time. They are illustrative only and are not a promise or prediction of what you will achieve.
  • Search engines can and do change their algorithms, guidelines, and policies, which may reduce or eliminate the effect of any strategy, including strategies we teach.
  • You are responsible for deciding how, when, and whether to apply anything you learn from us, and for the consequences of doing so, including on websites you do not own or that you manage for clients.

Your results will vary. If you are looking for a guaranteed ranking or a guaranteed income, our Services are not the right fit and you should not purchase them.

12. No Professional Advice

Our Courses, Content, and Tools are provided for general educational and informational purposes. They are not legal, tax, accounting, financial, investment, or other regulated professional advice, and using the Services does not create a professional-client relationship of any kind.

We are also not acting as your SEO agency or consultant unless we have a separate written agreement with you for that work. Before making decisions with legal, tax, financial, or contractual consequences, consult a qualified professional who can consider your specific situation.

13. Your Responsibilities

You are responsible for how you use the Services and for your own business decisions. In particular, you agree that:

  • you will comply with all laws and regulations that apply to you and your business, including those covering advertising claims, consumer protection, email and text message marketing, privacy and data protection, and intellectual property;
  • you will comply with the terms, guidelines, and policies of any search engine, website, platform, marketplace, hosting provider, or third-party service you use, including their webmaster and spam guidelines;
  • you are responsible for the content you publish and for any changes you make to websites you own or manage, including any effect those changes have on rankings, traffic, or revenue;
  • if you apply our material for clients, you are responsible for your agreements with those clients and for the work you deliver to them; and
  • you will keep your own backups of any website, data, or content you modify while applying what you learn.

We are not responsible for any penalty, action, ranking change, or account restriction imposed on you by a search engine, platform, or other third party.

14. Prohibited Uses

You agree not to use the Services to do any of the following, and not to help anyone else do them:

  • break any law or regulation, or use the Services for a fraudulent or deceptive purpose;
  • copy, redistribute, resell, publicly post, or otherwise share our Content or account access without permission;
  • infringe the intellectual property, privacy, or other rights of Certified SEO or anyone else;
  • hack, attack, or gain unauthorized access to the Website, Software, Tools, accounts, or any related systems or data;
  • upload or transmit viruses, malware, or other harmful code;
  • interfere with the operation, security, or availability of the Services, or with other users’ use of them;
  • scrape, crawl, harvest, or bulk-download our Content or data by automated means, except as we expressly permit;
  • circumvent access controls, paywalls, licensing checks, or usage limits;
  • misrepresent your identity or your affiliation with Certified SEO, including implying that we endorse or certify your services when we have not; or
  • harass, threaten, defame, or abuse our staff, instructors, or other users, including in any community or member area.

Where we provide a community or member area, we may remove content and restrict participation to keep it usable and respectful.

15. Third-Party Services and Links

The Services may link to or work alongside third-party websites, platforms, tools, integrations, hosting providers, analytics providers, and payment processors. We do not control those third parties, we are not responsible for their content, availability, pricing, or practices, and a link or integration is not an endorsement.

Your use of a third-party service is governed by that provider’s own terms and privacy policy. Where a third-party tool is discussed in a Course, the description reflects our understanding at the time the material was produced; features, pricing, and policies of third-party products change and we do not guarantee that our description remains current.

16. Testimonials, Case Studies, and Examples

We may publish testimonials, reviews, case studies, screenshots, and examples from students and clients. These describe the experience of the individual or business involved, in their own circumstances, and are not a guarantee or prediction of your results. Please read them together with Section 11.

If you send us a testimonial, review, comment, or other feedback, you agree that we may publish and use it, in whole or in part and with light editing for length or grammar, together with your name and general location, in our marketing and on the Website. Feedback you send us is not confidential, and we are not obliged to publish or use it.

17. Disclaimer of Warranties

To the fullest extent permitted by law, the Services are provided on an “as is” and “as available” basis, and we disclaim all warranties that are not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We work to keep our material accurate and useful, but we do not warrant that the Content is complete, current, or error-free, that the Website, Software, or Tools will be uninterrupted, secure, or free of errors or harmful components, or that they will meet your requirements or work with your particular systems or configurations. SEO practices change, and material that was accurate when produced may become outdated.

Some jurisdictions do not allow the exclusion of certain warranties. In those places, this section applies to the extent permitted, and you may have rights that these Terms cannot limit.

18. Limitation of Liability

To the fullest extent permitted by law, Certified SEO and its owners, officers, employees, contractors, instructors, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost revenue, lost rankings or traffic, lost business opportunity, lost data, or loss of goodwill, arising out of or relating to the Services or these Terms, whether the claim is based on contract, tort, warranty, or any other theory, and even if we were told such damages were possible.

To the fullest extent permitted by law, our total liability for all claims relating to the Services or these Terms will not exceed the amount you paid us for the Service that the claim relates to.

Some jurisdictions do not allow certain limitations of liability, including for death, personal injury, fraud, or gross negligence. Nothing in these Terms limits liability that cannot be limited by law.

19. Indemnification

You agree to defend, indemnify, and hold harmless Certified SEO and its owners, officers, employees, and contractors from any third-party claim, loss, liability, damage, or expense (including reasonable legal fees) arising out of your use or misuse of the Services, your breach of these Terms, your infringement of anyone’s rights, your violation of any law or of a third party’s terms and policies, or the work you perform for your own clients using what you learned from us.

20. Suspension and Termination

We may suspend or terminate your access to all or part of the Services, with or without notice, if you materially breach these Terms, if you share or redistribute our Content or credentials without permission, if you use the Services unlawfully or abusively, if a payment is not made, if you attempt to interfere with our systems or security, or if we are required to do so by law.

You may stop using the Services at any time. Where you have a recurring plan, cancellation is handled as described in Sections 9 and 10.

When access ends, your license under Sections 6 and 7 ends, and you remain responsible for any amounts already owed. Sections 5, 6, 11, 12, 14, 17, 18, 19, 22, and 23 continue to apply after termination.

21. Changes to the Services and to These Terms

We may update, improve, add to, or discontinue Courses, Content, Products, Software, Tools, and other parts of the Services. Course material is revised over time as SEO practice changes, and specific lessons or resources may be replaced or removed.

We may also update these Terms. When we do, we will change the “Last Updated” date at the top of this page and post the revised version here. If a change is material, we will make a reasonable effort to give you additional notice. Your continued use of the Services after a revised version is posted means you accept it. If you do not accept a change, please stop using the Services.

22. Governing Law and Disputes

These Terms and any dispute arising out of them or out of your use of the Services are governed by the laws of Utah, without regard to its conflict-of-laws rules. The parties agree that any claim not resolved informally will be brought exclusively in the courts located in Davis County, Utah, and each party consents to the jurisdiction of those courts. Any disputes are binding and to be conducted in Davis County, Utah, with Customer reimbursing Certified SEO for any legal, collections, or administrative fees from a favorable judgement.

Before starting a formal proceeding, please contact us so we can try to resolve the matter informally.

23. General Terms

Severability

If any provision of these Terms is found unenforceable, that provision will be limited or removed to the minimum extent necessary and the rest of these Terms will remain in effect.

Entire agreement

These Terms, together with our Privacy Policy and any additional terms presented at the point of purchase, are the entire agreement between you and Certified SEO regarding the Services, and they replace any earlier understandings on the same subject.

No waiver

If we do not enforce a provision of these Terms right away, we have not waived it. A waiver is effective only if we give it in writing.

Assignment

You may not assign or transfer your rights under these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.

Events outside our control

We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including outages, network or hosting failures, natural events, or acts of government.

Electronic communications

You agree that we may communicate with you electronically, and that electronic notices, disclosures, and agreements have the same effect as if they were in writing on paper.
